About the Author
Carl J. Bjerre is associate professor of law at the University of Oregon School of Law. His courses include Commerical Law, Contracts, Securities Regulation, Law and Language, and a seminar in Advanced Commercial Law.

Sandra M. Rocks is Counsel at Cleary, Gottlieb, Steen and Hamilton, resident in the New York office. Her practice focuses on commercial financing, including specialties in secured transactions and bankruptcy law, representing investment banking institutions, broker-dealers and clearing corporations, among others.
