This volume contains an English translation of the Belgian Coordinated Acts on Commercial Companies. It reflects the intensive re-regulation of Belgian company law in the last decade resulting from both the implementation of EC harmonisation directives and Parliament's desire to correct shortcomings in the law highlighted by the Societe Generale takeover. The translation gives guidance on the incorporation of private and public companies, the provisions applicable to their share capital, their management and audit and their winding up. In addition, the procedures for the registration of foreign companies in Belgium will be useful for international companies wishing to establish a presence there without incorporating a subsidiary. The legislation on mergers and takeovers as well as the 1995 re-regulation of Company Law are covered and will be of interest to investors and their advisors considering Belgian target companies. This book replaces a previous publication by the same authors entitled The Belgian Coordinated Acts on Commercial Companies, which appeared as the third title in the Series of Legislation in Translation.
